Shareholders just handed Metaplanet 93.7% control of Nasdaq-listed Super League in a deal paid for with 2,100 Bitcoin. For traders, this is Japan's biggest Bitcoin treasury firm planting its flag inside US capital markets — and the new company's whole plan is to buy even more BTC.
• Metaplanet will contribute 2,100 BTC plus $2.5 million in cash for a 93.7% stake in Super League after shareholders approved the deal.
• Super League plans to rebrand as Superplanet, trade under the ticker SUPA, and focus on growing its Bitcoin holdings per share.
• Metaplanet already holds about 44,000 BTC, making it the second-largest public corporate Bitcoin holder behind Strategy.
How will the deal work?
Under the agreements filed with the US Securities and Exchange Commission, Metaplanet will receive about 44.86 million common shares, 100 shares of convertible perpetual preferred stock carrying governance rights, and 10-year warrants for more common stock. The package gives Metaplanet control of the company, including the right to name a majority of the board and approve major decisions, while Metaplanet's own common shares in the deal are locked up for five years.
The rebranded Superplanet does not plan to lean mainly on debt. Instead, it intends to fund future Bitcoin purchases mostly by issuing senior, non-convertible perpetual preferred shares, aiming to steadily raise the amount of Bitcoin standing behind each share. Metaplanet can also put in up to $210 million more through junior preferred stock if the platform needs extra support as it grows.
Why it matters for traders
The move gives Metaplanet a US dollar fundraising route on Nasdaq to sit alongside its raising in Japan, at a time when corporate treasury buying is one of the few steady sources of Bitcoin demand, with Bitcoin trading near $82,500 on Monday. Metaplanet's chief executive framed the 2,100 BTC as a seed — less than 5% of the firm's Bitcoin — with the ability to contribute much more as the platform grows, so a successful SUPA launch could turn into a new, regular buyer in the US market.
What traders watch next is the closing itself: the SUPA ticker change, the first preferred-share sales, and any sign that Superplanet starts adding Bitcoin beyond the seeded 2,100 BTC. If US investors buy into the preferred-stock model the way they backed other treasury firms, Metaplanet's expansion could add fresh demand for BTC — but if the shares struggle, it will show how much appetite is left for new Bitcoin treasury vehicles.
